Why Kota Kinabalu Needs Its Own List

Setting up and running a Sdn Bhd in Sabah isn't quite the same experience as doing it in the Klang Valley. Under the Companies Act 2016, every private limited company in Malaysia — wherever it's registered — still needs a qualified company secretary within 30 days of incorporation, and SSM's e-filing system (MyCoID) works the same nationwide. But the day-to-day relationship — walking a resolution over for a director's signature, dropping off a physical document, getting someone on the phone who knows the local business licensing office and Sabah-specific requirements like state-level trading licences — is easier with a firm that actually has a desk in Kota Kinabalu, not just a "we serve East Malaysia too" line on a KL-based website.

This list only covers firms with a genuine, verifiable KK office — a real street address, not a virtual mailbox or a national brand's generic service page. We already published a Kuala Lumpur edition of this list; every operator here is different, and none of them appear on that one. Two of the eight now publish a concrete package price on their own site, and both figures are set out below alongside what SSM itself charges, so you can tell the government fee from the firm's fee before you ask anyone for a quote.

Long-Established Company Secretarial Firms Based in KK

Brisk Management Sdn Bhd has operated as a company secretarial firm in Kota Kinabalu since 1989, making it one of the longer-running dedicated secretarial practices in the city. It's based at Lot 16, 1st Floor, Block B, Damai Plaza Phase 4, Jalan Damai, and its own site sets out services spanning company incorporation, ongoing secretarial retainer work, and general corporate compliance guidance — including explainer pages on the Companies Act 2016 and the Malaysian Business Reporting System (MBRS), suggesting a practice that actively keeps clients current on regulatory changes rather than just filing paperwork.

Innoplan Sdn Bhd has been providing company secretarial services out of Kota Kinabalu since 1990 — over three decades — and is based on the 4th Floor, Lot 12, Block A, Warisan Square, right in the city centre. Beyond new company formation and secretarial retainer work, Innoplan also offers bookkeeping (handled through an affiliated firm, Warren Advisers) and document delivery/courier services for clients outside its immediate service area, useful for Sabah business owners based outside KK town itself. It is the only firm here running an actual online order page for new company registration — you submit your proposed name, director and shareholder details, registered address, paid-up capital and nature of business through the site — though no price is attached to it, so the quote still comes back by reply.

Pakar Gabungan (trading as Pakar & Gabungan Management Consultants) describes its roots as dating back to the 1980s and is based at Lintas Square in Kota Kinabalu. It positions itself as a full-journey business solutions provider rather than a pure secretarial shop — covering company incorporation, ongoing SSM compliance, business licensing, bookkeeping, and payroll under one roof, which suits smaller Sabah businesses that would rather not juggle a separate accountant and secretary. Its office is at Lot 5-2, 2nd Floor, Block G, Lintas Square, and it is one of the few firms here that names its people publicly: founder Samuel Wong, Christopher Wong leading the practice, and Nazrena Binti Bahri running annual returns, financial statements, MBRS submissions and corporate resolutions. The firm puts its own track record at more than 300 companies incorporated and around 500 clients served.

Chartered Accounting Firms Offering Company Secretarial Services

Tan & Associates is a Kota Kinabalu-based professional accounting firm — a member of the Malaysian Institute of Accountants — based at Block B, Damai Commercial Centre Phase 4, Jalan Damai. Company secretarial services sit alongside its core audit, tax advisory, corporate finance, and internal auditing practice, which makes it a reasonable pick for a Sabah company that wants its statutory secretary and its auditor working from the same office rather than coordinating between two separate firms. Its published service list is the widest on this page and reaches well past filing work — business recovery and insolvency, mergers and acquisitions, due diligence, trademark registration, succession planning and offshore set-up, the last of which matters in Sabah given how many Sabah-based groups run a Labuan entity alongside their onshore one.

KKHO & Partners PLT (operating under the KK Ho & Co / KKHO brand, LLP0031584-LCA & AF 002455) is a chartered accounting and tax firm at DBKK H-2-28, 2nd Floor, Block H, Inanam, 88450 Kota Kinabalu — the only firm on this list sitting outside the Damai / Lintas / Warisan cluster — and it publishes a full rate card on its company formation landing page. New Sdn Bhd formation is priced at RM1,800, stated as including the RM1,010 SSM incorporation fee, one name search, preparation of all registration documents and first board-meeting minutes, a bank-account resolution and three sets of certified statutory copies, ready in 2-3 working days, with paid-up capital inside the package capped at RM1,000. A ready-made (shelf) company is RM2,300, also inclusive of the RM1,010 SSM fee — and it is that shelf package, not the new-formation one, that carries the "ready within 24 hours" and "400-plus choices of company name" terms. Both prices are gated as being for the first 100 customers, so treat them as promotional rather than a standing rate card. KKHO states it has formed more than 800 companies over 15 years in the market.

Newer & Boutique KK Company Secretary Options

LBC Corporate Ventures Sdn Bhd was incorporated in April 2010 and is based at Block E, Iramanis Centre, Jalan Lintas, offering company secretary and accounting services specifically pitched at Sabah businesses — its own service page is framed around "corporate secretarial services in Sabah" rather than a generic national offering, and it pairs secretarial work with accounting so a client can consolidate both under one Sabah-based provider. The secretarial page itself lists new Sdn Bhd and LLP incorporation, sale of ready-made companies, provision of a registered address, MBRS submission of annual returns and financial statements, striking-off, LLP winding up, and company and bankruptcy searches. Worth knowing before you rely on it: the site's own copyright line still reads 2020-2022, so check current details on the phone rather than assuming the page is freshly maintained.

KK Company Secretaries (KKCOSEC), registered as Kk Company Secretaries Sdn Bhd (1044580-X), is based at B-8-6 Aeropod, Phase 3A, Jalan Aeropod, off Jalan Kepayan — a newer commercial development closer to Kota Kinabalu's airport side of town than the older Damai/Lintas cluster most other firms sit in. Beyond core company secretarial and SSM registration work, its listed services extend into tax and accounting consultancy, corporate restructuring, and licence applications (MOF, CIDB, PUKONSA and travel licences), which points to a broader compliance-and-licensing practice rather than pure secretarial filing. It is also the only firm here quoting a flat, non-promotional published price: RM2,800 for a full new company registration package covering name search, registration, corporate bank account and statutory book, with a RM200 name search deposit payable in advance and a further RM80 if the first name search is rejected. Ready-made companies are listed separately at RM3,000 to RM3,220, with RM500 more to change the name of one. Its office is open Monday to Friday, 9am to 5pm, closed weekends and public holidays.

Suryanty & Co, trading as Daftar Syarikat Sabah, is a smaller Kota Kinabalu operator (DBKK-registered business 0000149620-T) running primarily through Facebook and WhatsApp rather than a dedicated corporate website. It advertises shelf companies, new Sdn Bhd incorporation, PLT closures, bookkeeping/audit/tax support, and licence applications (MOF, CIDB, MOTAC, trading licences), plus business address rental — a genuinely local, lower-overhead option worth knowing about if you want a smaller operator rather than a multi-decade firm, though as with any smaller local operator, it's worth confirming directly that your assigned company secretary holds a current SSM practising certificate before signing anything.

What We Left Out

We researched several other names and left them out for specific reasons rather than lack of space. SPG Alliance does have a real office at Block B, Kolam Centre, Lorong Hilltop, Lintas, Kota Kinabalu, with a named practising company secretary based there — but the firm itself (Synergy Professionals Group) is headquartered in Petaling Jaya, and the KK address reads as a satellite branch office of a Klang Valley firm rather than a KK-founded practice, so it didn't meet this list's "genuinely KK-based" bar the way the firms above do. SuriaGroup (Suria Capital Holdings Berhad, the Sabah ports and property group) does have its own in-house group company secretary based in Kota Kinabalu, but that's an internal corporate role, not a service the public can hire — it isn't a company secretarial provider in the sense this list is covering. We also came across general accounting/secretarial directory sites (like Audit.my and various business-listing portals) that aggregate multiple KK firms' contact details; these are useful starting points for further research but aren't operators in their own right, so they're not listed here as standalone companies. Finally, several national digital-first secretarial platforms that appeared in our earlier KL edition of this list (Mishu, iComSec, 3E Accounting and others) do serve Sabah clients remotely through their online portals, but none of them operate a physical Kota Kinabalu office, so we kept this list to firms with a genuine local desk rather than repeating that KL-list roster here.

What SSM Charges, and What Is Left Over for the Firm

Before comparing a single Kota Kinabalu quote, separate the statutory fee from the professional fee. SSM's Table of Fees for the Registration of Company is fixed by statute and identical nationwide, Sabah included:

  • Incorporating a company limited by shares, section 14: RM1,000
  • Reserving a company name, section 27: RM50 for every 30 days or part thereof, to a maximum of 180 days
  • Changing a company name later, section 28: RM100
  • Lodging the annual return of a private company, section 68: RM150 a year

Run the two published KK packages through that. KKHO's RM1,800 formation package states that RM1,010 of it is the SSM incorporation fee, which leaves roughly RM790 as the firm's own charge. KKCOSEC's RM2,800 full package covers the same RM1,000 statutory fee plus corporate bank account and statutory book setup, leaving roughly RM1,800 as the professional component — though KKCOSEC also asks for its RM200 name search deposit up front, which is the line people most often forget to budget for.

The gap between RM1,800 and RM2,800 is real, but the two are not the same product. The cheaper one is explicitly promotional, caps paid-up capital inside the package at RM1,000, and includes a single name search. The dearer one is a standing rate that carries the bank account and statutory book work with it.

The number nobody quotes at incorporation time is the recurring one. That RM150 annual return is unavoidable for every Sdn Bhd for as long as it exists, and it sits on top of whatever your secretary charges as a yearly retainer. Pin the retainer down in writing before you sign — it is the figure that decides what this actually costs you over five years, not the incorporation fee.

How Fast KK Firms Say They Are

Three of the eight put a turnaround figure in public, and they disagree in a way worth understanding. Brisk Management says a Sdn Bhd can be incorporated within two working days, provided all information and documents are in order. KKHO quotes 2-3 working days on its RM1,800 package while its separate service page says the process usually takes 5-7 days, with same-working-day registration possible where directors and shareholders sign at its office — so ask which of its own two figures applies to you. KKCOSEC does not publish a formation turnaround at all, but prices a ready-made company that is usable within 24 hours, which is the whole point of a shelf company: you are buying elapsed time, not a faster filing.

None of this is a Sabah penalty. MyCoID is national, and the filing itself moves at the same speed from Kota Kinabalu as from Kuala Lumpur.

What We Could and Could Not Verify on Price

Two of the eight firms publish a concrete number on their own site: KKHO & Partners (RM1,800 new formation, RM2,300 ready-made) and KK Company Secretaries (RM2,800 full package, RM3,000 to RM3,220 ready-made). That is a change from our previous check of this list, when only one did, so re-read both pages before quoting either figure back at anyone.

KKHO's own site is not internally consistent, and this is the trap. Its Formation of Sdn Bhd service page carries no figure at all, only a reference to an "attractive promotional price" — while its separate company formation landing page carries the whole RM1,800 / RM2,300 rate card. Land on the first page and you would conclude the firm does not publish prices. Ask for the landing page rate by name.

Innoplan sits in between: an online order page for new company registration that you can submit directly, with no price attached to it.

Brisk Management, Pakar Gabungan, Tan & Associates, LBC Corporate Ventures and Suryanty & Co quote on request rather than publishing a fee schedule, which is normal for this vertical: company secretarial pricing usually depends on company complexity — number of directors and shareholders, share structure, whether nominee arrangements are needed — in a way a flat online rate card rarely captures. Ask every firm for a full written quote covering both the one-off incorporation fee and the ongoing annual secretarial retainer, and what happens to that retainer rate after any first-year introductory pricing ends, before signing anything.

On promotions: KKHO gates both of its published prices as being for the first 100 customers, and its Formation of Sdn Bhd page advertises a limited-time reduction in the security deposit for its nominee director service, to RM10,000 for two directors. Neither carries a date and neither is a discount code, so neither can be treated as a deadline — but they are live promotional terms published by the firm itself, and it is fair to ask that a price visible on a firm's own page be honoured. No other operator on this list was advertising a promotion on its own site or social page at the time of writing.

How to Pick, in Order

Start with what the business will need in year two, not what registration costs in year one. If it will need audited accounts and a tax agent anyway, a chartered accounting firm with a secretarial arm — Tan & Associates or KKHO — removes a handover. If it will not, a dedicated secretarial practice — Brisk Management, Innoplan or Pakar Gabungan — is the cleaner relationship, and all three have run in Kota Kinabalu for three decades or more.

If price transparency matters more than anything else, there are exactly two firms you can price before you call, and KKHO's RM1,800 is the cheapest published entry point in the city. If you need the company to exist before a tender or a bank deadline this week, a ready-made company is the only route that does it in 24 hours, and both KKHO (RM2,300) and KKCOSEC (RM3,000 to RM3,220) sell one. If your compliance load is really licensing — MOF, CIDB, PUKONSA, MOTAC, WRT — KKCOSEC and Suryanty & Co both do that work alongside the secretarial side, and Pakar Gabungan lists business licensing as a named service.

And whoever you pick, confirm one thing before signing: that the individual named as your company secretary holds a current SSM practising certificate, and whether they are employed by the firm or subcontracted. That single question decides who is accountable when a filing is missed.
